Obviously, XP SP2 is quite an important update, so being unable to approve it is a bit of an issue! I am having the same issue but just recently. I have 3 updates with download errors of the Microsoft Software License Terms, all others are good. I have done the suggested fix un-selected SUP classifications, ran wsusutil reset, manual sync, which did timeout, selected SUP classifications, ran manual sync and still same results. So with the failed sync my SUP is syncing every hour instead of on the configured schedule.

So, if you don't download content locally, then you'll always get synchronization failures? You're basically just copying the downloaded files from one location to another in that scenario.

Which is inefficient for obvious reasons. I can understand why the failure would occur, but seems like if I download files from the internet anyway, there should be an option to ignore those failures, or suppress them.
